Introduction

This User Agreement constitutes a legally binding contract between you and Havage Group LLC.

Ownership & Restrictions on Use

All content on the Proquesto (referring to the website and application), including text, graphics, images, software, and trademarks (collectively, “Content”), is the property of Havage Group LLC.

Except as expressly permitted in this User Agreement, you may not:

  • Modify, copy, reproduce, publish, distribute, display, or sell any Content without our express written consent.
  • Use Content for commercial purposes beyond the scope of your permitted use of our Services.
  • Misuse our trademarks, logos, or brand elements without authorization.

Account Registration & Security

  • Users must provide accurate and complete information when creating an account.
  • Users are responsible for maintaining the confidentiality of their login credentials.
  • Any unauthorized use of an account must be reported to Proquesto immediately.
  • We reserve the right to suspend or terminate accounts with false or misleading information.

Subscription & Payment Terms (If applicable)

If you purchase a paid plan or subscription, the following terms apply:

  • Billing & Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.
  • Payment Failures: If a payment is unsuccessful, Proquesto reserves the right to suspend or terminate access to paid features.

Use of Services

You agree to abide by all applicable laws and not to:

  • Use Proquesto for illegal, harmful, or unauthorized purposes.
  • Upload, post, or share content that is unlawful, offensive, or violates third-party rights.
  • Attempt to gain unauthorized access to any part of our Services.
  • Disrupt the integrity, security, or availability of our Services.

AI-Generated Content & Responsibility Disclaimer

The Proquesto application provides AI-generated content to assist in proposal writing, but users are solely responsible for verifying the accuracy, compliance, and suitability of any generated content before using it.

  • Proquesto does not provide legal, financial, or business advice. Any reliance on AI-generated content is at your own risk.
  • You agree to review and edit any AI-generated proposals before submitting them to third parties.
  • Havage Group LLC is not liable for any business, financial, or legal consequences resulting from the use of AI-generated content.

User Conduct

By accessing Proquesto, you agree not to:

  • Engage in spam, phishing, or other deceptive activities.
  • Infringe upon intellectual property, privacy, or other legal rights.
  • Introduce malware, viruses, or any harmful code.
  • Interfere with or disrupt networks or servers connected to Proquesto, or violate the regulations, policies or procedures of such networks.
  • Attempt to obtain unauthorized access to the Proquesto website or application.
  • Harvest, collect, or misuse personal data of other users.

Violating these terms may result in account suspension or termination.

Links to Third-Party Websites

Proquesto may contain links to third-party websites. We do not control these websites and are not responsible for their content, policies, or practices. The inclusion of links does not imply endorsement.

Disclaimer & Limitation of Liability

Proquesto strives to provide accurate and up-to-date content, and uninterrupted, error-free services. However, errors and omissions may occur, and we cannot guarantee the accuracy and completeness of the information at all times.

ACCORDINGLY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PROQUESTO WEBSITE AND APPLICATION, INCLUDING THE CONTENT PROVIDED HEREIN, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HAVAGE GROUP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  HAVAGE GROUP LLC DOES NOT WARRANT THAT THE FUNCTIONS OF THE PROQUESTO WEBSITE OR APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL HAVAGE GROUP LLC, ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE PROQUESTO WEBSITE OR APPLICATION OR ANY CONTENT, EVEN IF HAVAGE GROUP LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT.

Indemnification

You agree to indemnify and hold harmless Havage Group LLC, its officers, employees, and affiliates from any claims, damages, or liabilities arising from:

  • Your use of Proquesto.
  • Your violation of these Terms.
  • Any infringement of third-party rights by you.

Termination & Changes

We reserve the right to modify, suspend, or terminate your access to Proquesto at any time, for any reason, without notice.

We may update these Terms periodically. Changes take effect upon posting on proquesto.com/terms-of-service. Continued use of our Services indicates acceptance of any updates.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware. Any disputes shall be resolved in the courts of that jurisdiction.

Entire Agreement

This Agreement, along with our Privacy Policy and any other legal notices or statements posted on the Proquesto website, constitutes the entire agreement between you and Havage Group LLC and supersedes any prior understandings or agreements regarding the subject matter. This Agreement may not be amended or modified except by Proquesto as set forth above. In the event of a conflict between this Agreement and any other agreement with Havage Group LLC, the terms and conditions of the other agreement shall prevail.

Please review this Agreement carefully before using the Proquesto website or application. By accessing and using Proquesto, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms, your sole recourse is to discontinue use of the website.
